Distance Sales Contract

English translation: the Turkish version of this document is binding and prevails in case of any difference.

In force and last updated: Version 2.3

All legal documents

The Distance Sales Contract governs the price, payment, performance, termination and refund terms of the SEO, backlink, web design, social media and other digital services that you purchase from inurdemirel as a consumer through the website, the client panel, WhatsApp, e-mail or telephone. You may withdraw without giving any reason within 14 days from the day the contract is concluded. When confirming the order, you request that the service be started without waiting for this period, and your right of withdrawal ends when the service is started; before the service is started, you may request, free of charge, that the start be postponed to the end of this period. If you are purchasing the service as a legal entity, or as a merchant, tradesperson or self-employed professional for commercial or professional purposes, the Commercial Service Agreement applies.

Nature and scope of the contract

This Distance Sales Contract (the “Contract”) has been drawn up between İnurdemirel Dijital Pazarlama Ve Yazılım Hizmetleri Ticaret Limited Şirketi (the “Seller”) and the consumer who purchases services from the Seller (the “Consumer”).

The Contract applies to sales of services concluded through means of distance communication such as inurdemirel.com, www.inurdemirel.com/panel, WhatsApp, e-mail or telephone, without the parties being physically face to face. The rights and obligations of the parties are determined in accordance with Law No. 6502 on Consumer Protection and the Distance Contracts Regulation.

The Contract applies only to purchases made for purposes that are not commercial or professional. Purchases made for commercial or professional purposes by legal entities, and by natural persons who are merchants, tradespeople or self-employed professionals, are subject to the Commercial Service Agreement. The purpose for which the purchase is made is recorded during the order. As a rule, card payments are received through the Seller’s group company Shofix OÜ (Narva mnt 5, 10117 Tallinn, Estonia; Estonian trade registry code 17321116), and the invoice for these orders is issued by Shofix OÜ. In this case too, the party to the Contract is the Seller; the service and the Seller’s obligations towards the Consumer do not change.

Before the Contract is concluded, the Pre-Contract Information Form is provided to the Consumer. The Pre-Contract Information Form, the Cancellation, Refund and Withdrawal Terms, the order summary, any personalised offer and commitment letter, and the Sales Page information as at the date the order was placed form an integral part of the Contract. If there is a conflict between these documents, the provision in favour of the Consumer applies.

No provision of the Contract removes or limits the Consumer’s mandatory rights arising from the Law and the relevant legislation.

Subject of the contract

The subject of the Contract is the determination, in accordance with the Law and the Regulation, of the characteristics and price of the service that the Consumer orders through means of distance communication, the payment and performance conditions, and the rights and obligations of the parties.

The name and scope of the service that is the subject of the Contract, the commitment term (if any), the total fee including VAT, the payment method, the order date and the delivery period appear in the order summary in the copy of the Contract sent to the Consumer.

Services and scope

The services that the Seller offers for sale are digital marketing services such as SEO services and SEO packages, SEO consultancy, backlink packages, web design, custom software, social media management and Google Rank Tracking. The free SEO tools on the site are not the subject of a sale; their use is subject to the Terms of Use. The current characteristics, scope and price of each service are shown on the relevant Sales Page.

The Consumer purchases the service with the characteristics and scope stated on the Sales Page, in the order summary and in the Pre-Contract Information Form on the date the order is placed. The Seller undertakes to provide the purchased service in full within this scope. The provisions of the Law on defective services remain reserved with respect to the characteristics stated in the Seller’s advertisements and announcements.

Results such as search engine rankings, traffic, sales and conversions depend on factors outside the Seller’s control, such as search engine algorithms, competitors’ efforts and changes the Consumer makes on their site. Therefore, unless expressly stated on the Sales Page, no specific result is guaranteed.

Commitments expressly stated on the Sales Page remain reserved.

Placing the order and conclusion of the contract

An order may be initiated in the Client Panel (www.inurdemirel.com/panel) by adding the service to the cart from the service pages on inurdemirel.com, or by a WhatsApp message, e-mail or telephone call opened through the links on the service pages. A membership account is required to place an order from the Client Panel. Whichever channel the order starts from, the Contract is concluded through the following steps:

  1. The Consumer notifies the Seller of the service they wish to purchase. Whether the purchase is a consumer transaction or a commercial transaction is recorded on the basis of the purchase purpose declared by the Consumer at the payment step and the invoice type they select (individual or corporate); in cases of doubt, the purchase is deemed a consumer transaction.
  2. Before requesting payment, the Seller sends the order summary, the Pre-Contract Information Form, this Contract and the Cancellation, Refund and Withdrawal Terms to the Consumer on a durable medium, by e-mail or as a Client Panel link.
  3. The Consumer reviews the order summary. If they notice any incorrect or missing information, they request its correction; the corrected summary is sent to them again.
  4. The Consumer confirms that they have read the Pre-Contract Information Form, this Contract and the Cancellation, Refund and Withdrawal Terms by ticking a checkbox in the Client Panel that has not been pre-ticked, or by a written reply sent on a durable medium (for example, e-mail). The Contract is concluded upon this confirmation.
  5. Payment is requested only after this confirmation.

By this confirmation, the Consumer also confirms that they have obtained information on the essential characteristics of the service, its total price including taxes, the payment and performance conditions, and the right of withdrawal. Before giving confirmation, the Consumer is expressly informed that by confirming the order they will be under an obligation to pay. If the order is confirmed through the Client Panel, the confirmation step expressly states that it gives rise to an obligation to pay.

The Seller confirms receipt of the order by e-mail without delay. The Seller stores the text of the Contract. The Consumer can access the Contract, the Pre-Contract Information Form and the Cancellation, Refund and Withdrawal Terms that they confirmed from the Client Panel for at least 3 years, and may request a copy by e-mail at any time.

Personalised offers and capacity to order

Offers prepared by the Seller specifically for the Consumer become binding if they are confirmed within the validity period stated in the offer. Unless otherwise stated in the offer, the validity period is 7 (seven) days. Offers not confirmed within this period are not binding on the parties. This Contract and the Pre-Contract Information Form also apply to contracts concluded through personalised offers.

Services are sold only to persons with full legal capacity. Transactions on behalf of persons who do not have full legal capacity may be carried out only by their legal representatives. By placing the order, the Consumer declares that they have full legal capacity.

The Seller may cancel orders placed in the name and on behalf of third parties without their permission or authorisation. In this case, the fee collected is refunded in a manner appropriate to the method by which the payment was made. The rights of the Seller and of the entitled third party to claim compensation under the general provisions remain reserved.

Price, VAT and payment

The prices shown to the Consumer on the Sales Pages are total prices including VAT; the amount excluding VAT may be shown only next to the price including VAT, for information purposes. The fee shown in a personalised offer and in the order summary is also the total fee including VAT. Before confirming the order, the Consumer sees this total fee in the order summary and does not pay more than this amount. If the Consumer chooses to pay by card in instalments, the total amount they will pay is shown separately, together with the instalment charge, in accordance with the “Card payment in instalments” provision below.

The total fee including taxes, any additional costs and the payment conditions appear in the order summary before the order is confirmed.

Payment is made by bank transfer (havale or EFT) to the Seller’s bank account or by card. Card payments are received through the Seller’s group company Shofix OÜ via Revolut; where Revolut cannot be used, they may be received through PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş. (“PayTR”), a payment and electronic money institution licensed in Türkiye. Card details are entered on the payment institution’s secure payment page and are not stored by the Seller; the payment institution processes the payment data as a separate data controller within the scope of its own obligations. For orders whose payment is received through Shofix OÜ, the invoice is issued by Shofix OÜ; the party to the Contract is still the Seller. An invoice in accordance with the legislation is issued for the fee paid.

Orders placed by bank transfer (havale or EFT) are processed once it is verified that the fee has been credited to the Seller’s account. If the fee is not credited to the Seller’s account within 7 days from the order date, the order is cancelled and no fee is requested from the Consumer. For card payments, if the payment is not completed, no order is created.

Card payment in instalments: The instalment option can be used only for orders whose payment is received through PayTR and to the extent offered by the card issuer; the number of instalments is selected on PayTR’s secure payment page. At the payment step and in the order summary, the cash price, the number of instalments, the instalment amount, the instalment charge and the total amount payable are shown together for each instalment option. The instalment charge is calculated according to the payment institution’s instalment rates on the order date and is payable only if the Consumer chooses to pay in instalments; there is no instalment charge for single payments. The number of instalments selected by the Consumer and the total amount they paid appear in the order record.

Balance: The Consumer may load a balance onto their account in the Client Panel and pay for their orders with this balance. The loaded balance is not refunded and is used only for orders on the Website; this is shown separately to the Consumer, and their approval is obtained, before the balance is loaded. If a refund arises for an order paid with the balance due to withdrawal, cancellation, delay or defective performance, this amount is refunded to the balance, in accordance with the payment instrument.

Discounts: Discounts such as discount coupons, gift wheel rewards and loyalty discounts are subject to the Campaign Terms. Only one discount is applied to an order, and the discount applied is shown in the order summary. If a refund arises for a discounted order, the refund amount is the amount actually paid by the Consumer.

For packages billed monthly, the monthly fee and the commitment term (if any) are stated on the Sales Page and in the order summary. The monthly price remains fixed throughout the commitment term. The commitment letter and the termination conditions are set out in the “Termination of monthly and commitment-term packages” section.

Additional costs and variable fees

In social media packages, the advertising budget paid to advertising platforms is not included in the package price. The Consumer pays this budget directly to the advertising platform from their own advertising account.

Other costs that the Sales Page states are not included in the package price are notified to the Consumer in advance, together with their amount, when necessary. Licensed music, stock images, models, and venue and studio rental are among such costs. These costs, and payments that must be made to third parties on the Consumer’s behalf for the performance of the service, are passed on only with the explicit approval given in advance by the Consumer and on the basis of the documented actual cost.

Variable fees, such as the management fee charged for the portion of the managed advertising budget that exceeds the package limit, are shown together with their calculation method in the Pre-Contract Information Form and in the order summary. Items offered as additional services on the Sales Page are invoiced only if the Consumer orders them separately.

If an additional cost arises that was not foreseen in the Contract and has become necessary for the continuation of the work, the Seller notifies the Consumer of this cost together with its justification and amount. No additional fee is collected without the Consumer’s explicit approval.

If the Consumer accepts the additional cost, the service is performed with its new scope. If they do not accept it, the service is delivered with its existing scope. If performance of the service with its existing scope is not possible, the Seller may end the Contract. In this case, the impossibility provision in the “Performance, delivery and periods of the service” section applies.

Changes to prices and terms

The Seller may change service terms and prices prospectively. Changes are published on the Sales Page and apply only to orders placed after the publication date. The price, scope and terms of confirmed orders and ongoing commitment periods cannot be changed without the Consumer’s explicit approval.

For monthly packages without a commitment term, a price change is notified to the Consumer on a durable medium at least 30 days before the period in which the new price will apply. If the Consumer does not accept the change, they may terminate their package without paying any additional fee before the new price starts to apply.

Performance, delivery and periods of the service

Since the service purchased is intangible (digital) in nature, no physical delivery or shipment by cargo is made. The service is deemed delivered when the requirements of the order have been fulfilled and completed electronically. Deliveries and reports are made through the Client Panel or by e-mail.

The delivery conditions and period of each service are stated on the Sales Page, in the personalised offer or in the Pre-Contract Information Form; the periods stated are maximum delivery periods. The period written for the package in the order summary (for example, “Within 20 business days at the latest”) is the binding delivery period for that package; the order summary forms part of this Contract and of the Pre-Contract Information Form. One-off services for which no period is stated in the order summary or in these documents are completed no later than 40 (forty) business days from the date the delivery period begins. For work whose scope is determined according to the project, such as web design and custom software, the binding period is the schedule written in the personalised offer; the periods given for such work on the Sales Page are estimates for information purposes.

Start of the delivery period: The delivery period starts on the day the payment is credited to the Seller’s account. If the payment is credited to the account after 18:00 on a business day, at the weekend or on a public holiday, the period starts on the next business day. Delivery periods are calculated on a business-day basis; weekends and public holidays are not counted as business days.

Within the withdrawal period, the Seller starts performance of the service only upon the Consumer’s explicit request. The Consumer gives this request when confirming the order. If the Consumer has not given this request, or revokes it before performance starts, the delivery period starts on whichever is later: the date the payment is credited to the account or the first business day following the end of the withdrawal period.

For packages carried out monthly, the service is performed each month within the scope stated on the Sales Page for as long as the package continues.

Delay: If the Seller does not fulfil its obligation within the period it has undertaken, the Consumer may terminate the Contract. In this case, all payments collected are refunded together with statutory interest, no later than 14 days from the date the termination notice reaches the Seller, in a manner appropriate to the payment instrument, in a single payment and free of charge (Regulation, Article 16).

Impossibility of performance: If performance of the service becomes impossible, the Seller notifies the Consumer of this situation in writing or on a durable medium within 3 days from the date it becomes aware of it. It refunds all payments it has collected no later than 14 days from the date of notification. If the Consumer, at their own choice, accepts a part that has been performed and delivered to them, only the fee for that part is deducted from the refund amount.

Order stages

The status of the order is shown in the Client Panel through the following stages:

Queued
Appears in the client panel as “Pending” or “Brief received”. The order has been received, but performance of the service has not yet started. At this stage, the Consumer may cancel their order; if they are within the withdrawal period, they may also exercise the right of withdrawal. In a cancellation at this stage, the entire fee collected is refunded in a manner appropriate to the payment instrument no later than 14 days from the date the cancellation request reaches the Seller.
In Progress
Appears in the client panel as “Work in progress”, “Processing”, “Awaiting approval” or “Delivered”. Performance of the service has started. Within the withdrawal period, this stage is entered only upon the Consumer’s explicit request. After this stage, the right of withdrawal cannot be exercised, as explained in the “Right of withdrawal” section. The Consumer’s other legal rights remain reserved.
Completed
Appears in the client panel as “Completed”. Indicates that the requested service has been performed.
Cancelled
Appears in the client panel as “Cancelled” or, if the fee has been refunded, “Refunded”. Indicates that the order has been cancelled at the Consumer’s request or in the cases provided for in the Contract.

The “Waiting for your details” status shown in the client panel indicates that information, content or access is awaited for the service; it does not change whether the order has started, and the provisions of the previous stage remain applicable. The start of performance (“In Progress”) is notified by e-mail and in the client panel, with its date and time.

Right of withdrawal

The Consumer has the right to withdraw from the Contract within 14 (fourteen) days without giving any reason and without paying any contractual penalty. In sales of services, the withdrawal period begins on the day the Contract is concluded.

It is sufficient for the withdrawal notice to be sent to the Seller in writing or on a durable medium before the period expires. The notice may be given by one of the following means:

  • sending an e-mail to work@inurdemirel.com,
  • creating a support request through the Client Panel,
  • sending a written notice to Meşrutiyet Mah. Konur Sok. Özsoy İş Hanı No: 25/13, 06420 Çankaya/Ankara.

The Consumer may give notice in a free-form text or may use the model withdrawal form annexed to the Regulation; use of the form is not mandatory. A sample text containing the fields of this form is available in the “Sample withdrawal notice text” section of the Cancellation, Refund and Withdrawal Terms page. The Cancellation, Refund and Withdrawal Terms are sent to the Consumer together with the order; the details of the withdrawal and refund process are also on this page.

Case in which the right of withdrawal cannot be exercised: Within the withdrawal period, the Seller starts performance of the service only upon the Consumer’s explicit request. The right of withdrawal cannot be exercised for services whose performance has started upon this request of the Consumer before the withdrawal period expires (Regulation, Article 15/1-h).

The Consumer gives this request through the express statement in the non-pre-ticked checkbox in the order confirmation, or through a declaration sent in writing or on a durable medium. The confirmation text expressly states that the right of withdrawal will end once performance starts.

Before performance starts, the Consumer may revoke this request free of charge through the Client Panel or by e-mail; in this case, performance starts after the withdrawal period ends. Even if performance has started within the withdrawal period without a request, the Consumer’s right of withdrawal continues throughout the 14-day period.

In Google Rank Tracking packages, the service starts at the moment the payment is confirmed, upon the explicit request the Consumer gives through a separate, non-pre-ticked box in the cart. Since the service starts with this confirmation before the withdrawal period expires, there is no right of withdrawal (Regulation, Article 15/1-h); details are in the “Special provisions on the Google Rank Tracking service” section.

A Consumer whose order is at the “Queued” stage and whose withdrawal period has not expired may exercise the right of withdrawal at any time. A Consumer who has not been duly informed about the right of withdrawal is not bound by the 14-day period. In this case, the right of withdrawal expires 1 year after the date on which the withdrawal period ends.

Refund: The Seller refunds all payments it has collected no later than 14 days from the date the withdrawal notice reaches it. The refund is made in a manner appropriate to the payment instrument used by the Consumer for the payment, without imposing any cost or obligation on the Consumer, and in a single payment.

Payments made by card are refunded to the card used for the payment through the payment institution through which the payment was received (Revolut for payments received through Shofix OÜ, PayTR for payments received with PayTR); payments made by bank transfer (havale or EFT) are refunded to the bank account from which the payment was made; and payments made with the balance are refunded to the balance. The time it takes for a refund made to a card to be reflected in the Consumer’s account depends on the processing times of the relevant bank.

Rights and obligations of the Consumer

  • Within the scope of the service, the Seller undertakes to contribute to the development of the website belonging to the Consumer; the Consumer undertakes to pay the fee for the service received in full and without deficiency.
  • If the Consumer does not find the content prepared by the Seller within the scope of the service suitable, the Consumer obtains the content they wish to use themselves. Their legal rights relating to defective performance remain reserved.
  • The Consumer provides the Seller with the access details necessary for carrying out the service, such as FTP, SSH and site administration panel access details.
  • The service is prepared specifically for the Consumer, and the Seller’s counterpart in the process is the Consumer, as the owner of the site that is the subject of the service. Following and managing the process is the Consumer’s responsibility. If the Consumer conducts the process through third parties, the Seller cannot be held responsible for confusion and errors arising from the instructions and actions of those persons, unless the Seller is at fault.
  • The Consumer verifies their e-mail address before placing an order from the Client Panel. The account is personal and cannot be transferred to another person.
  • The Consumer is obliged to keep account security information such as passwords confidential and to protect it. The Consumer is responsible for damage arising from a breach of this obligation, unless the Seller is at fault.
  • The Consumer cannot transfer their rights and obligations arising from the Contract to third parties without the Seller’s written approval. This provision does not prevent the delivered work from being transferred together with the Consumer’s site.

Provisions specific to SEO services

The Consumer agrees to implement the changes recommended for the SEO work and, when necessary, to provide content in line with the Seller’s guidance. The Consumer notifies the Seller of objections and change requests regarding the operation of the service. The Seller evaluates these notifications and communicates the outcome to the Consumer.

The following interventions may jeopardise the effectiveness of the SEO work. For this reason, they should not be made during the service without prior agreement with the Seller:

  • changing or moving file and folder names,
  • removing site verification tags,
  • restructuring URLs,
  • changing or deleting content text,
  • removing or changing analytics codes,
  • adding new web pages or removing existing pages.

The Consumer’s right of disposal over their own site remains reserved. However, if these interventions are made without notifying the Seller, the Seller cannot be held responsible for the resulting consequences.

The Seller is not responsible for ranking fluctuations that may occur for the following reasons: changes in search engine algorithms, competitors’ SEO work and changes the Consumer makes on their site after the service is completed.

Unless there is an ongoing package, after the service is completed, the continuity, management and development of the SEO work are the Consumer’s responsibility.

The Seller presents the report on the SEO work at the end of the service. If more frequent reporting, such as a monthly report, is provided for on the Sales Page, that arrangement applies. Reports are delivered through the Client Panel.

Rights and obligations of the Seller

  • The Seller performs the service within the scope and periods stated on the Sales Page, in the order summary, in the Pre-Contract Information Form and in this Contract, with the care required by the profession.
  • The Seller uses the access details shared by the Consumer solely for the purpose of performing the service, keeps them confidential and protects them against unauthorised access. When the service ends, it deletes this information from its records and recommends that the Consumer change their access details.

Intellectual property and use as a reference

The intellectual and industrial property rights relating to the software, tools, methods and techniques that the Seller uses and develops in providing the services belong to the Seller. These may not be reproduced, distributed or used for other purposes without the Seller’s written approval.

Upon paying the fee, the Consumer acquires the right to use the work delivered to them within the scope of the service on their own site, in accordance with the purpose of the Contract. Designs, content and adjustments made on the site are examples of such work. Broader rights, such as the transfer of the source code or of economic rights, are transferred only if they are expressly stated on the Sales Page or in the personalised offer, and in writing.

The Seller may use the work and operations it carries out within the scope of the service as references on its own websites. For this purpose, it removes information that makes the Consumer’s identity identified or identifiable. The Consumer’s name, domain name or site is shown as a reference only with the Consumer’s explicit permission.

Defective service and legal rights

A service performed contrary to the scope agreed in the Contract is deemed defective under Article 13 of the Law. The same rule applies to a service that does not conform to the characteristics stated on the Sales Page, in the order summary, in the Pre-Contract Information Form or in the Seller’s advertisements and announcements.

If the service is performed defectively, the Consumer may exercise one of the following elective rights under Article 15 of the Law: re-performance of the service, free repair of the work resulting from the service, a reduction in the fee in proportion to the defect, or rescission of the contract. The right to claim compensation under the general provisions also remains reserved.

Unless a longer period is provided for by law, liability arising from a defective service is subject to a 2-year limitation period from the date of performance of the service. If the defect has been concealed through gross fault or fraud, the limitation period does not apply.

The limitations of liability in this Contract do not cover the Seller’s liability arising from intent or gross negligence. Nor do they remove the Consumer’s rights arising from the Law.

Refund policy

This policy applies where the Consumer wishes to end the Contract after the right of withdrawal has ended. The right of withdrawal, the elective rights relating to defective services and other rights arising from the Law remain reserved; no provision in this section limits these rights.

Project process
All projects are planned by dividing them into business days and begin with a discovery, analysis and scoping process. This process is carried out so that the parties understand the project in the same way and to prevent possible cancellations, refunds or disputes.
Completed work
No refund is made for work that has been completed and delivered to the Consumer. Cases of defective performance are excluded from this rule.
Ending projects in the nature of a work
In projects in the nature of a work, such as web design and custom software, the Consumer may end the Contract before the work is completed. In this case, under Article 484 of the Turkish Code of Obligations, the fee for the work done and the loss documented by the Seller are deducted from the refund amount. The remaining amount is refunded within 14 days at the latest.
Approval and development stage
When the Consumer approves the mock-up designs, the project moves to the development stage. If the Contract is ended after this stage, the fee for the approved designs and for the development work done up to that point is not refunded. The refund amount is determined according to the principle in the previous item.
Milestone stages
In projects divided into stages (milestones), if the Contract is ended, the fee for the work done up to that point for the ongoing stage and the loss documented by the Seller are deducted. The remaining amount and the fees paid in advance for stages that have not yet started are refunded within 14 days at the latest.
Mutual termination
If the project is terminated by mutual agreement, the Consumer takes over control of the completed work and the obligation to pay for subsequent stages ends. Payments corresponding to completed work are not refunded. Unless otherwise agreed in the termination agreement, fees paid in advance for stages that have not yet started are refunded within 14 days at the latest.
Special occasion services
For marketing services prepared for a specific special occasion or date, the right of withdrawal cannot be exercised after performance has started with the Consumer’s explicit approval. If the Consumer ends the Contract at this stage, the fee for the work done up to that date and the non-recoverable, documented expenses that the Seller has incurred with third parties for this service are deducted. The remaining amount is refunded within 14 days at the latest.
SEO and digital marketing packages
For SEO, social media and other continuous packages carried out monthly, the fee for the service performed up to the termination date is not refunded. Termination and refund are carried out according to the principles in the “Termination of monthly and commitment-term packages” section.
Abandoned projects
For projects that have been pending for more than 30 days for reasons attributable to the Consumer, the Seller grants the Consumer a reasonable additional period by notifying them in writing or on a durable medium. Failure to provide the necessary information, content, access or approval are examples of such reasons. If what is required is not done within the additional period either, the Seller may end the Contract. In this case, the fee for the work done and the loss documented by the Seller are deducted, and any remaining amount is refunded within 14 days at the latest.

All refunds are made in a manner appropriate to the payment instrument used for the payment and without imposing additional costs on the Consumer.

Termination of monthly and commitment-term packages

SEO, social media and other continuous packages billed monthly are in the nature of subscriptions. The provisions of the Law on subscription contracts and the Subscription Contracts Regulation apply to these packages, regardless of whether or not they have a commitment term.

For commitment-term packages, a commitment letter is given to the Consumer on a durable medium. The commitment letter sets out the commitment term, the monthly fee, the discount provided, the method for calculating the maximum amount that may be claimed upon termination before the commitment term expires, and the conditions that will apply at the end of the commitment term. The commitment letter forms an integral part of the Contract.

The Consumer may terminate their package, with or without a commitment term, at any time without giving a reason. Notice of termination may be given by the means listed in the “Right of withdrawal” section and is not made subject to a form more onerous than the method used to conclude the Contract. Termination takes effect on the date the notice reaches the Seller or on a later date that the Consumer specifies in their notice. The Seller carries out the termination request no later than 7 days from the date the notice reaches it and notifies the Consumer of the termination in writing or on a durable medium.

The Consumer pays only the fee for the service performed up to the termination date. Fees that have been paid in advance and relate to the period after the termination date are calculated on a daily basis and refunded no later than 14 days from the termination date, in a manner appropriate to the method used for the payment.

If the Consumer terminates their package before the commitment term expires, the total of the commitment discounts provided to them up to the termination date (the difference between the monthly price without a commitment term and the monthly price with a commitment term) is claimed from the Consumer. This amount cannot exceed the total of the monthly fees for the remaining commitment term; whichever of the two is lower is the amount claimed. The calculation method is shown in the commitment letter, and the amount is notified to the Consumer in writing or on a durable medium on the termination date. Only the discount provided for the commitment-term package in periods that have started and been paid for is included in the calculation; monthly additional services purchased together with the package are not included in this calculation. Apart from this, no termination fee, withdrawal fee or contractual penalty is claimed. When the commitment term ends, the package is not renewed for a new commitment period without the Consumer’s approval. The continuation of the package on a monthly basis without a commitment term is also subject to the Consumer’s approval; this option and the price that will apply are notified to the Consumer on a durable medium before the commitment term ends. If approval is not given, the package ends at the end of the commitment term.

For monthly packages, if the fee for a period is not paid by the start of the period, the service for that period does not start and the Consumer is notified by e-mail. If the fee is not paid within 14 days from the start of the period either, the package is deemed to have ended at the start of the unpaid period, and no fee is claimed for the unpaid period. For commitment-term packages, in this case the early termination condition in the commitment letter applies.

Protection of personal data

The Seller processes the Consumer’s personal data as data controller within the scope of the conclusion and performance of the Contract. This data consists of identity, contact, order, invoice and payment records, correspondence and the site access details shared for the service. Processing is carried out in accordance with Personal Data Protection Law No. 6698.

The main legal bases for processing this data are the conclusion and performance of the Contract and the Seller’s legal obligations arising from tax and commercial legislation. The purposes and legal bases of processing, to whom the data is transferred, the retention periods and the Consumer’s rights are explained in detail in the KVKK Privacy Notice.

To the extent necessary for carrying out and reporting on the service, and for the collection and invoicing of orders whose payment is received through Shofix OÜ, the Seller’s group company Shofix OÜ (Estonia) also accesses the Consumer’s personal data. This access constitutes a transfer of personal data abroad; details are provided in the KVKK Privacy Notice. If the order or correspondence takes place via WhatsApp, messages are transmitted through the service operated by WhatsApp/Meta, which is established abroad. Using this channel is not mandatory; the Consumer may also place their order by e-mail, by telephone or through the Client Panel.

The Seller processes, on behalf of the Consumer, personal data belonging to third parties that is located on the Consumer’s site and that the Seller can access during the service. It uses this data only to the extent necessary for performing the service and in line with the Consumer’s instructions; it takes the necessary security measures under Article 12 of Law No. 6698. The Seller may make use of auxiliary persons and subcontractors (such as software, graphic design and technical teams) in performing the service; these persons access personal data only to the extent necessary for the work they undertake and are bound by the same confidentiality and data security obligations as the Seller. These persons are disclosed to the Consumer upon request; the Seller is liable for their acts under Article 116 of the Turkish Code of Obligations.

The Consumer may exercise their rights under Article 11 of Law No. 6698 using the Data Subject Application Form; applications are concluded free of charge. General data practices on the Website are explained in the Privacy Policy, and the use of cookies is explained in the Cookie Policy.

Purchasing the service is not conditional on giving explicit consent or consent to commercial electronic messages. Commercial electronic messages for marketing purposes are sent to the Consumer only on the basis of the consent they give separately through the Commercial Electronic Message Consent. The Consumer may withdraw this consent at any time free of charge. Informational messages relating to the order, payment, delivery and performance of the service are not subject to this consent.

Complaints and applications

The Consumer may submit their requests, objections and complaints about the service to the Seller through the following channels:

  • E-mail: work@inurdemirel.com
  • Client Panel: support request via www.inurdemirel.com/panel
  • Telephone: 0850 840 41 74
  • Post: Meşrutiyet Mah. Konur Sok. Özsoy İş Hanı No: 25/13, 06420 Çankaya/Ankara

Complaints are recorded and evaluated, and the outcome is notified to the Consumer in writing or on a durable medium. Making a complaint to the Seller does not limit the Consumer’s right to apply to the consumer arbitration committee or the consumer court.

Dispute resolution and competent authorities

For disputes arising from the Contract that fall below the monetary limit announced each year by the Ministry of Trade, applying to the consumer arbitration committee is mandatory. The application is made to the committee at the Consumer’s place of residence or at the place where the consumer transaction was carried out. Applications can also be made via e-Devlet through the Consumer Information System (TÜBİS).

Consumer courts have jurisdiction over disputes exceeding the monetary limit. The Consumer may file their lawsuit at the consumer court at their own place of residence or at the Seller’s place of residence. In lawsuits that the Seller files against the Consumer, the general rules of jurisdiction of the law apply.

In the cases provided for in Article 73/A of the Law, having applied to a mediator before filing a lawsuit is a precondition for bringing the lawsuit. The Contract is governed by Turkish law.

Notices and retention of records

Notices under the Contract are made to the Consumer at the e-mail address they provided during the order or registered in the Client Panel, and in the Client Panel. Notices to the Seller are sent to work@inurdemirel.com or to the address in the “Parties” section. The Consumer notifies changes to their contact details through the Client Panel or by e-mail.

The Seller retains the information and documents relating to the Contract, the pre-contract information and the exercise of the right of withdrawal for at least 3 years in accordance with the Regulation. If tax and commercial legislation provides for a longer period, the relevant records are retained for that period.

Retention of delivered content: Reports, files, link lists and similar outputs delivered within the scope of the service can be downloaded from the Client Panel as PDF or Word at delivery and after delivery. Keeping and backing up a copy of these outputs in their own environment is the Consumer’s responsibility; the Client Panel is not an archive or backup service. Legal rights arising from defects in the delivered outputs remain reserved.

Panel and infrastructure changes: The Seller may develop or change the Client Panel and the infrastructure it uses, or move them to another system. In this case, the transfer of reports and other outputs relating to completed orders to the new system, or their display in the same format in the new system, is not undertaken. This provision constitutes prior information about such changes; since the outputs can be downloaded from delivery onwards, a separate notification is not mandatory. The performance of ongoing services and access to this Contract and to the pre-contract information text are not affected by these changes; a copy of these texts can always be requested by e-mail.

Records kept by the Seller: The Seller retains order, contract, invoice and approval records only to the extent of the obligations and periods provided for by law, for the periods written in the “Retention periods” section of the KVKK Privacy Notice. This retention does not constitute an archive service on behalf of the Consumer. When the periods expire, the records are deleted, destroyed or anonymised. The Consumer’s rights under Article 11 of Law No. 6698 remain reserved.

Special provisions on the Google Rank Tracking service

Google Rank Tracking packages are a digital service and are made available for use in the Consumer’s Client Panel account at the moment the payment is confirmed. The service is paid in advance for the selected period and is not renewed automatically. Since the service starts at the moment the payment is confirmed, with the Consumer’s separate approval in the cart, there is no right of withdrawal (Distance Contracts Regulation, Article 15/1-h). The Seller provides measurement and reporting within the scope of the package; it does not undertake any specific result in search engine rankings.

Package entitlements, trial, package change, fair use and data retention conditions are written in the Google Rank Tracking annex of the Pre-Contract Information Form and form part of this Contract. These provisions apply to packages purchased from the cart; the Enterprise package is offered under a separate written contract.

Google Rank Tracking entitlements given free of charge with SEO and backlink packages, and the free trial, are subject to the “Gift and trial” clause in the Google Rank Tracking annex of the Pre-Contract Information Form. These are for information purposes and do not contain any promise of a specific ranking or result.
