Parties and scope
This Commercial Service Agreement (the Agreement) has been drawn up between the Parties whose details are set out below. Within the framework of the Turkish Commercial Code No. 6102, the Turkish Code of Obligations No. 6098 and the relevant legislation, the Agreement governs the rights and obligations relating to corporate services. These services are services purchased through orders placed via the inurdemirel.com website, the Client Panel, e-mail or WhatsApp, or on the basis of a quote.

Client
The Client's trade name or full name, tax office and tax number, MERSIS or trade registry number (if any), address, e-mail address and authorised person (if any) consist of the information entered in the Client Panel or notified in writing to the Contractor during the approval of the order or quote. This information is shown in the order summary or in the quote and forms an integral part of the Agreement. The Client accepts that the information is accurate and up to date.
The Agreement applies to legal entities, and to natural persons who are merchants, tradespeople or self-employed professionals (the Client), that purchase the service for commercial or professional purposes. Natural or legal persons who purchase the service for non-commercial or non-professional purposes are deemed consumers; such purchases are subject not to the Agreement but to the Distance Sales Contract and the Pre-Contract Information Form. As a rule, card payments are collected through the Contractor's group company Shofix OÜ (Narva mnt 5, 10117 Tallinn, Estonia; Estonian commercial registry code 17321116), and the invoices for these orders are issued by Shofix OÜ. In this case, too, the party to the Agreement is the Contractor; the service and the Contractor's obligations towards the Client do not change.
No employment, partnership or agency relationship is established between the Parties. The Agreement is not a service (employment) contract within the meaning of Article 393 of the TBK. Depending on the nature of the service, the provisions of the TBK on contracts for work (Article 470 et seq.) or on mandate contracts (Article 502 et seq.) apply.
The scope of the service is determined by the descriptions on the sales page on the order date, the order summary and the quote approved by the Client. Quote provisions separately negotiated and agreed with the Client apply in priority to the general provisions of the Agreement. With regard to corporate purchases, if there is a conflict between the Agreement and the Cancellation, Refund and Withdrawal Terms, the Agreement prevails.
The rules on the use of the Website are set out in the Terms of Use. Information on the processing of personal data is set out in the KVKK Privacy Notice and the Privacy Policy.

Subject of the Agreement
The subject of the Agreement is the determination, within the framework of the TTK, the TBK and the relevant legislation, of the characteristics and delivery terms of the corporate and commercial service and of the rights and obligations of the Parties. This service is the service ordered via the Website, the Client Panel, e-mail or WhatsApp, or approved on the basis of a quote.
Services, fees and payment
The scope, features and prices of the corporate services offered for sale can be found on each service's own sales page. The main services are SEO packages and SEO consultancy, GEO (visibility in AI-powered search and answer engines) work, backlink packages, social media management, corporate web design and custom software services.
The Client is deemed to have purchased the service with the characteristics stated on the sales page on the order date and shown in the order summary or in the quote it approved.
The fee is paid upfront by the payment method stated in the order summary (bank transfer (havale/EFT) or card payment). Card payments are collected through Revolut via the Contractor's group company Shofix OÜ; where Revolut cannot be used, they may be collected through PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş., a payment and electronic money institution licensed in Türkiye; card details are entered on the payment institution's secure payment page and are not stored by the Contractor. For orders whose payment is collected through Shofix OÜ, the invoice is issued by Shofix OÜ (“Parties and scope” section). The Client may also pay with the balance it has loaded to its account in the Client Panel; the loaded balance is non-refundable and is used only for orders on the Website. Discounts such as discount coupons, gift wheel prizes and loyalty discounts are subject to the Campaign Terms; only one discount is applied per order. If staged payment (advance payment and interim delivery payments) is provided for on the sales page or in the quote, the upfront payment rule does not apply. In jobs with staged payments, the fee and due date of each stage are shown in the quote.
For monthly services, unless otherwise stated on the sales page or in the quote, the fee for each monthly period is paid before that period begins.
Orders placed by bank transfer (havale/EFT) are processed upon verification that the fee has been credited to the Contractor's account. If the fee is not credited to the Contractor's account within 7 days of the order date, the order is cancelled. For monthly services, if the fee for a period is not paid by the start of the period, the service for that period does not begin and the Contractor may suspend ongoing work until the fee is paid; the suspension period is added to the delivery periods. Commercial default (advance) interest accrues on any fee not paid when due, from the due date, pursuant to Article 2(2) of Law No. 3095 on Legal Interest and Default Interest. If the fee is still not paid within 7 days of the Contractor's written notice, the Contractor may terminate the Agreement pursuant to the “Termination” clause.
Card payment in instalments: The instalment option can be used only for orders whose payment is collected through PayTR, and to the extent offered by the card issuer; the number of instalments is selected on PayTR's secure payment page. At the payment step and in the order summary, the upfront price, the number of instalments, the instalment amount, the instalment charge and the total amount payable are shown together for each instalment option. The instalment charge is paid only if the Client chooses to pay in instalments; the Contractor's service fee is the upfront price.
Package prices on the Website (including SEO, backlink and social media packages) include VAT; the amount excluding VAT may be shown for information purposes only. In written quotes, whether VAT is included is stated separately in the quote. Whether the price includes VAT is also shown separately in the order summary or in the quote. The service fee consists of the service charge, VAT and, if any, other taxes and duties payable by law. The Contractor issues an invoice in the name of the Client for the fee it collects.
The Contractor may update the prices and service terms on the sales pages without prior notice. Updates are published on the sales page and apply to orders placed after the publication date. These updates do not change the fee or scope of agreements already concluded to the detriment of the Client. For monthly services with a commitment term, the monthly fee remains fixed throughout the commitment term.
For monthly services without commitment, the Contractor gives notice of a price change at least 30 (thirty) days in advance by e-mail or via the Client Panel. The new price applies from the first monthly period beginning at least 30 days after the notice. A Client that does not accept the new price may end the Agreement before that period begins. In this case, the 30-day notice period in the “Term of the Agreement” clause is not required.
The Contractor starts performance of the service within the period stated on the sales page, in the quote or in the order summary, and undertakes to fulfil the purchased scope of service in full. It is not guaranteed that a specific result, such as search engine rankings, traffic, sales or the like, will be achieved.
Commitments expressly given on the sales page for a specific item are binding within their own scope.
Additional costs and mandatory payments
Advertising budgets and fees payable to advertising and publishing platforms are not included in the service fee. These are paid by the Client directly to the relevant platform from its own account.
Additional expenses other than those specified in the Agreement, on the sales page or in the order summary may arise, or additional costs that are mandatory for the continuation of the work may emerge. In this case, the Contractor notifies the Client of the situation, together with its justification and amount, by e-mail or via the Client Panel.
If the Client agrees to cover the additional costs, the service is delivered in its new form; if it does not agree, the service is delivered in its current form. If delivery of the service in its current form is not possible, the Contractor ends the Agreement. In this case, the fee calculated according to the completion rate of the work is set off and the remaining amount is refunded to the Client.
Apart from advertising budgets, it may become necessary to make payments to third parties for the performance of the service. Such a payment may be made by the Contractor upon the Client's prior approval. The documented amount is borne separately by the Client.
Formation of the Agreement and quotes
An order may be placed via the Client Panel, e-mail or WhatsApp. Before accepting the order, the Contractor sends the Client an order summary and the link to this Agreement in writing by e-mail, WhatsApp or via the Client Panel. The order summary shows the name, scope and fee (stating whether VAT is included), the payment method and the delivery period of the service.
The Agreement is formed when the Client, after receiving the order summary and the Agreement, expressly approves them by e-mail, WhatsApp message or via the Client Panel. The Contractor makes the approved order summary and the Agreement version available to the Client.
By approving the order, the Client accepts that it has read and understood the characteristics, fee and delivery terms of the service and the provisions of the Agreement.
Quotes prepared by the Contractor specifically for a particular Client become binding if approved by the Client within their validity period. Unless otherwise stated in the quote, the validity period of a quote is 3 (three) days; quotes not approved within this period are not binding on the Parties.
For web design, custom software and Corporate SEO package jobs carried out on the basis of a quote, the quote is signed by the Parties with a wet signature or a secure electronic signature. These quotes also contain the provisions of the Agreement on the competent court and on intellectual property rights.
Advertisements and promotions in channels other than the Website do not contain any promise to provide services or any guarantee. The scope of the service and the Contractor's obligations are determined by the information on the sales page, in the order summary and in the quote approved by the Client.
The Contractor's obligation to perform begins when the payment is credited to the Contractor's account. For services paid upfront, this payment is the full fee; for services with staged payments, it is the first payment. The obligation is fulfilled upon completion of the scope of service defined on the sales page, in the order summary or in the quote.
Services published on the Website are deemed offered for sale, on the terms on the sales page, from the date of their publication.
Delivery and time periods
The services are digital (intangible) in nature; no physical delivery or shipment by cargo takes place. The entire process is conducted electronically, and the service is deemed delivered when the work within the scope of the order is completed.
The delivery terms and periods of each service are specified on the sales page, in the quote or in the order summary; the periods specified are maximum delivery periods. The period written for the package in the order summary (for example, “Within 20 business days at the latest”) is the binding delivery period of that package. For one-off services, if no separate period is provided for in these, the service is completed within 40 (forty) business days at the latest from the start date. For jobs whose scope is determined per project, such as web design and custom software, the binding period is the schedule written in the quote; the periods given for these jobs on the sales page are estimates for information purposes. Monthly services are performed in monthly periods: for services with a commitment term, throughout the chosen commitment term; for services without commitment, until the Agreement ends.
The service start date is the date on which the first payment is credited to the Contractor's account. Delivery periods are calculated in business days. If the payment is credited to the account after 18:00 on a business day, or on a weekend or public holiday, the period begins on the next business day.
Delays resulting from the late provision of contributions expected from the Client, such as access details, content or approval, are added to the delivery period.
Order stages
The status of the purchased service is tracked in the Client Panel through the following stages:
- Queued
- Shown in the Client Panel as “Pending” or “Brief received”. Indicates that the order has been received but processing has not yet started. At this stage, the order may be cancelled under the conditions in the “Right of withdrawal and rescission” clause.
- In Progress
- Shown in the Client Panel as “Work in progress”, “Processing”, “Awaiting approval” or “Delivered”. Indicates that implementation of the service has started. At this stage, the order cannot be cancelled.
- Completed
- Shown in the Client Panel as “Completed”. Indicates that the work within the scope of the order has been carried out.
- Cancelled
- Shown in the Client Panel as “Cancelled” or, if the fee has been refunded, “Refunded”. Indicates that the order has been cancelled at the Client's request, where possible.
The “Information needed from you” status shown in the Client Panel indicates that information, content or access is expected from the Client for the service; it does not change whether the order has started, and the provisions of the previous stage remain applicable.
Orders placed in the name or on behalf of third parties without permission and without authority may be cancelled by the Contractor. The person acting without authority is liable under Article 47 of the TBK for the loss incurred by the Contractor as a result.
Right of withdrawal and rescission
Since the Client purchases the service for commercial or professional purposes, the right of withdrawal under Law No. 6502 on Consumer Protection and the Distance Contracts Regulation does not apply to this Agreement. However, the Client is granted the following right of cancellation arising from the Agreement.
The Client may rescind the Agreement by cancelling its order within 5 (five) days of the formation of the Agreement and while the order is at the “Queued” stage. This right ends when the Contractor gives notice that work on the service has started and the order moves to the “In Progress” stage, even if the 5-day period has not expired. For special-occasion services tied to a specific date, this right cannot be exercised once the service has been scheduled.
The cancellation request is made via the Client Panel or by e-mail to work@inurdemirel.com. If the right is exercised within the period, the fee paid is refunded to the Client in a manner consistent with the method by which payment was made.
Refund conditions
All projects are planned by dividing them into business days and begin with a discovery, analysis and scoping process. This process is carried out to ensure that the Parties understand the project in the same way and to prevent possible cancellations, refunds and disputes. In corporate purchases, refund and cancellation requests are subject to the following rules:
- Completed work
- No refund of fees is made for completed work, because of the effort and time spent.
- Mutual termination
- If a project is ended by agreement of the Parties, the Client takes over control of the completed work unless otherwise agreed in the termination settlement. Payment obligations relating to subsequent development stages end; payments made previously and the advance payment are not refunded.
- Approval and development stage
- No refund of fees is made after the Client has approved the design drafts (mock-ups) and the project has moved to the development stage.
- Interim delivery stages
- No partial refund is made for projects that are in the middle of one of the interim delivery (milestone) stages.
- Special-occasion services
- For limited-time special-occasion marketing services tied to a specific date, cancellation is not accepted once the service has been scheduled.
- SEO and digital marketing packages
- For a package without or with a commitment term, the Client may end the service with prospective effect by giving 30 (thirty) days' prior written notice; this notice may also be given via the Client Panel or by e-mail to work@inurdemirel.com. The Agreement ends at the end of the first monthly period that ends after the 30-day period, counted from the notice reaching the Contractor, has expired (“Term of the Agreement” clause). Fees paid for monthly periods that have begun by that date are not refunded; fees paid in advance for subsequent monthly periods are refunded. If a package with a commitment term is ended before the commitment term expires, the total of the commitment discounts provided up to the end date (the difference between the monthly price without commitment and the monthly price with commitment) is claimed from the Client; this amount cannot exceed the total of the monthly fees for the remaining commitment term. Only the discount provided for the package with commitment in periods that have begun and have been paid for is included in the calculation; monthly add-on services purchased together with the package are not included in this calculation.
- Abandoned projects
- If contributions expected from the Client are not provided within 30 (thirty) days of the date of the Contractor's written reminder, despite that reminder, the project is deemed abandoned. In this case, payments made and the advance payment are not refunded; the Contractor may end the Agreement by written notice.
These rules do not affect the cancellation right in the “Right of withdrawal and rescission” clause or the set-off and refund provision in the “Additional costs and mandatory payments” clause. If the Contractor, through its own fault, fails to perform the service at all or fails to perform it properly, the Client's statutory rights are reserved. In refunds made under the Agreement, payments made by card are refunded through PayTR to the card used for payment, and payments made by bank transfer (havale/EFT) are refunded to the bank account from which the payment was made.
Rights and obligations of the Parties
Sales under this Agreement are made to Clients that purchase the service for commercial or professional purposes, and the Client accepts that it purchases the service for this purpose. The person placing the order declares that they are authorised to act on behalf of the Client.
The Contractor is not obliged to investigate the authority of representation of the person placing the order. Nor is it obliged to investigate whether the card or account used for payment belongs to the Client or to a person authorised by the Client. Unauthorised or unrelated persons may not place orders on behalf of the Client; the liability of a person placing an unauthorised order is subject to the provisions of the TBK on unauthorised representation.
The Contractor undertakes to provide the service that will contribute to the development of the Client's websites within the scope specified on the sales page or in the quote. The Client, in turn, undertakes to pay the service fee fully and completely. For fees not paid when due, the Contractor may withhold performance until payment is made (Article 97 of the TBK).
The Client accepts that, if it does not find the content prepared by the Contractor suitable, it will procure the necessary content itself.
The service is prepared specifically for each Client, and the Contractor's counterpart in the process is the natural person authorised by the Client. If third parties are brought into contact with the Contractor while the process is ongoing, the Client is responsible for any resulting confusion and errors. Monitoring and managing the process is the responsibility of the Client.
Purchased services may not be transferred or resold to third parties without the Contractor's written approval. This prohibition does not prevent the Client from transferring its own website or business.
Provisions specific to SEO services
For SEO services to be carried out effectively, the Client is obliged to provide access details for its website, such as FTP, SSH and the site administration panel. The Contractor uses this information solely for the performance of the service and protects it as Confidential Information. Changing the access details after the end of the service is the Client's responsibility.
The Client accepts that it will implement the changes recommended for the SEO work and, where necessary, provide content in line with the Contractor's guidance. The Client also accepts that it will not interfere with the operation of the service. This obligation does not apply where the Client demonstrates, concretely and reasonably, that the SEO work carried out by the Contractor is causing harm.
The following interventions, which may jeopardise the effectiveness of the SEO work, must not be made by the Client without the Contractor's approval:
- Changing file and folder names or moving files and folders
- Removing site verification tags (e.g. search engine verification tags)
- Restructuring URLs
- Changing or deleting content text
- Removing or changing analytics and measurement codes
- Adding new web documents or removing existing documents
The Contractor is not responsible for ranking fluctuations that may occur due to changes made by the Client to its website after the service is completed. Nor is the Contractor responsible for ranking fluctuations that may occur due to changes in search engine algorithms or competitors' SEO work.
Reporting is carried out at the frequency and to the extent specified on the sales page or in the quote. Unless otherwise specified, the Contractor provides a report at the end of the service.
After the service is completed, maintaining, managing and developing the SEO work is the Client's responsibility.
Intellectual property and use as a reference
All intellectual and industrial property rights in the software, tools, templates, techniques and methods developed by the Contractor or used by it in the service belong exclusively to the Contractor. These may not be reproduced, distributed or used in any other way without the Contractor's written approval.
This paragraph applies to work products prepared specifically for and delivered to the Client within the scope of the service (such as website design, content, visuals and reports). Unless otherwise stated on the sales page or in the signed quote, the rights of adaptation, reproduction, distribution, performance and communication to the public (Articles 21–25 of the FSEK) in these products are transferred to the Client upon full payment of the fee. The transfer is without time limit, unlimited in territory and exclusive.
Work products may also include software, tools and templates belonging to the Contractor. For these, the Client is granted a non-exclusive permission to use them, without time limit, to the extent necessary for the use of the work product. Software, plug-ins, fonts and visuals belonging to third parties are subject to their own licence terms.
Whether source code and design files will be delivered is specified on the sales page or in the quote. The provisions of the Law on Intellectual and Artistic Works No. 5846 are reserved.
The work and operations carried out within the scope of the service may be used as references on the Contractor's websites, with the Client's identifying information removed. The Client's trade name, trademark or logo may be shown as a reference only with the Client's separate approval.
Client account and security
Before placing an order via the Client Panel, the Client is obliged to verify its e-mail address. The corporate client account created on behalf of the Client is specific to the Client and may not be transferred to anyone else.
The Client is obliged to ensure the confidentiality of, and to protect, the password and similar security information relating to its account. The Client is liable for any loss arising from a breach of this obligation.
Delivered content and records: Delivered reports, files, link lists and similar outputs can be downloaded from the Client Panel as PDF or Word at the time of delivery and afterwards. Storing and backing up these outputs and entering them into the Client's own commercial records are the Client's responsibility. The Client Panel is not an archive or backup service.
The Contractor may change the Client Panel and its infrastructure or move them to another system; it does not undertake that records relating to completed orders will be transferred to the new system or will remain permanently accessible in the panel. This provision constitutes prior notice of such changes; separate notice is not mandatory. The performance of ongoing services is not affected by these changes.
The Contractor keeps records only to the extent of statutory retention obligations (Article 82 of the TTK, Article 253 of the VUK and the relevant legislation) and the periods in the “Retention periods” section of the KVKK Privacy Notice; at the end of these periods it may delete, destroy or anonymise the records. This retention does not constitute an archive service on behalf of the Client and does not satisfy the Client's own statutory retention obligations. Except in cases of intent and gross negligence, the Contractor is not liable for the loss of outputs that have not been exported due to a change of panel or infrastructure.
Liability
The provisions of the Agreement on exclusion and limitation of liability do not remove the Parties' liability arising from intent or gross negligence. These provisions are applied within the framework of Article 115 of the TBK and Articles 20–25 of the TBK on general terms and conditions.
Except in cases of intent and gross negligence and without prejudice to the “Contractual penalty” clause, the Contractor's total liability arising from the Agreement is limited to the fee actually paid by the Client for the order that gave rise to the loss. The Contractor is not liable for indirect losses such as loss of profit, turnover, traffic or search engine rankings, loss of reputation and loss of data. This limitation is separately notified to the Client as a general term and condition and is accepted upon approval of the order (Article 21 of the TBK).
Confidentiality
Each Party accepts and undertakes to keep confidential all information belonging to the other Party that it learns during the commercial relationship (Confidential Information). It makes no difference whether the information is learned in written, electronic, oral, visual, magnetic or any other form. This obligation applies during the term of the Agreement and, without time limit, after the Agreement ends.
Confidential Information includes, without limitation, technical, commercial, financial and legal information, research data, and customer information, lists and payment information. Product information and all kinds of innovations, know-how, copyrights, inventions, designs and models, whether or not subject to legal protection, are also Confidential Information. Financial statements, marketing information, trademarks, methods, sales forecasts and assessments, cost studies, price lists and pricing methods are also within the scope. Business and operating plans, records, files, trade secrets and information produced using this information are also deemed Confidential Information.
Personal data obtained by the Parties in the context of the relationship established by the Agreement is also deemed Confidential Information.
Without prejudice to the exceptions listed in this clause, the Parties accept and undertake the following obligations regarding Confidential Information:
- To protect Confidential Information with strict confidentiality and to take all reasonable measures for this purpose.
- Not to disclose, transfer or make accessible Confidential Information to third parties, directly or indirectly, in part or in whole, by any means whatsoever; and not to give documents and materials relating to it to third parties.
- Not to use Confidential Information, directly or indirectly, for purposes other than those of the service provided under the Agreement.
- Not to disclose Confidential Information through press and broadcasting organisations or media organisations, and not to use it for advertising purposes.
- At the request of the Party to which the Confidential Information belongs, to return or destroy all copies and duplicates of the Confidential Information.
Each Party ensures that Confidential Information is not disclosed or distributed by third parties in breach of the Agreement. If the confidentiality obligation is breached, the breaching Party is liable for all losses the other Party incurs as a result.
Information that is publicly available is outside the scope of the confidentiality obligation. Information whose disclosure is required by law, by court order or at the request of a competent authority is also outside the scope to the extent of that requirement. Disclosure of Confidential Information to the Parties' employees, auxiliary persons and subcontractors, to the Contractor's group company Shofix OÜ, to hosting, e-mail and payment service providers, and to professional advisers such as lawyers and certified public accountants is also not deemed a breach of the confidentiality obligation. For this, the disclosure must remain limited to the extent necessary for the performance of the Agreement, the fulfilment of statutory obligations or the protection of rights, and these persons must be bound by an equivalent confidentiality obligation by contract or by law. Each Party is itself responsible for any conduct of these persons contrary to the confidentiality obligation.
Use as a reference within the limits in the “Intellectual property and use as a reference” clause is not deemed a breach of the confidentiality obligation.
The confidentiality obligation continues without time limit after the Agreement ends for any reason.
Protection of personal data
With respect to all data containing personal data, including all information and documents obtained under the Agreement and transferred to each other, the Parties accept and undertake the following:
- Personal data is processed in accordance with the principles and rules laid down by the KVKK and the relevant legislation.
- Personal data is not disclosed to others in breach of the provisions of the KVKK and is not used for purposes other than the purpose of processing.
- Personal data is retained for as long as prescribed in the relevant legislation or required by the purpose of processing. At the end of this period, it is erased, destroyed or anonymised in accordance with the Regulation on the Erasure, Destruction or Anonymisation of Personal Data.
- All technical and administrative measures necessary to prevent unlawful processing of personal data and unlawful access to it, and to ensure the safekeeping of the data, are taken.
- As soon as it is learned that processed personal data has been obtained by others through unlawful means, the other Party is informed immediately.
The Contractor may access the Client's website, administration panel or other systems for the performance of the service. In this case, the Contractor acts as a data processor on behalf of the Client with respect to the personal data in these systems. The Contractor processes this data only for the purpose of performing the service and in line with the Client's instructions.
Subcontractors that will access this data (including the Contractor's group company Shofix OÜ) are bound by the same data security obligations and are notified to the Client upon request. Upon the end of the service, the Contractor deletes this data and the access details or returns them to the Client; statutory retention obligations are reserved.
In the event of a personal data breach, the Party acting as data controller notifies the Personal Data Protection Board of the breach without delay and at the latest within 72 hours of becoming aware of it. Where necessary, it also notifies the data subjects within the shortest reasonable time. The basis of this obligation is Article 12(5) of the KVKK and the Board's Decision No. 2019/10 dated January 24, 2019. The other Party provides the information required for this notification without delay.
Where personal data needs to be transferred abroad, the Parties comply with the conditions laid down in Article 9 of the KVKK. The Contractor's group company Shofix OÜ (Estonia) accesses the personal data covered by the Agreement to the extent necessary for carrying out and reporting on the service and for the collection and invoicing of orders whose payment is collected through Shofix OÜ; information on transfers abroad is set out in the KVKK Privacy Notice.
The Contractor processes, as data controller, the personal data of a Client who is a natural person and of the Client's authorised persons and employees. Information on this is set out in the KVKK Privacy Notice and the Privacy Policy. When transferring personal data of its own employees or customers to the Contractor, the Client is responsible for fulfilling its obligations under the KVKK.
Service notifications and commercial electronic messages
Notifications relating to orders, payment, invoices, reporting and the performance of the service are sent, as required by the service, by e-mail, SMS, WhatsApp or via the Client Panel. These notifications do not qualify as commercial electronic messages.
Promotional commercial electronic messages may be sent to the electronic contact addresses of Clients that are merchants or tradespeople without obtaining prior consent. The basis for this possibility is Law No. 6563 on the Regulation of Electronic Commerce and the Regulation on Commercial Communication and Commercial Electronic Messages.
Promotional messages are not sent to addresses with an opt-out record in the İYS. This exception applies only to commercial contact addresses belonging to the Client. Promotional messages are sent to the personal contact addresses of the Client's authorised persons only with prior consent.
The Client may opt out of these messages at any time and free of charge. Opting out may be done via the opt-out method in the messages, the Message Management System (İYS) or the work@inurdemirel.com address. Details are set out on the Commercial Electronic Message Consent page.
Amendments to the Agreement
All amendments to the Agreement or its annexes are made in writing by mutual agreement of the Parties. Amendments mutually approved via the Client Panel are also deemed written amendments.
Mandatory changes may be made during the term of the Agreement to the legislation to which the Parties are subject or which applies to the Agreement; laws, regulations and decisions of competent authorities fall within this scope. These changes are binding on the Parties from the date they enter into force and apply to the Agreement automatically. If the Agreement needs to be amended for this reason, the Parties make the necessary amendments by mutual agreement within the statutory periods.
New versions of this text published by the Contractor on the Website apply only to agreements concluded after the publication date.
Severability
If any provision of the Agreement becomes invalid or unenforceable, this does not affect the validity of the other provisions.
In this case, the Parties agree in writing on a new provision consistent with the purpose of the Agreement to replace the provision that has become invalid or unenforceable.
Force majeure
Force majeure is an event beyond the control of the Party concerned that could not reasonably be foreseen. Such an event may, without fault or negligence of that Party, make the performance of an obligation under the Agreement impossible or excessively difficult. In this case, the Party concerned is not held liable for failing to perform that obligation for as long as the effect of the force majeure continues.
The following events are examples of force majeure to the extent that they make the performance of an obligation impossible or excessively difficult:
- Natural disasters such as floods, fires, earthquakes and epidemics
- Social events such as war, civil war, martial law, embargo, boycott, looting, rebellion, popular uprising, acts of terrorism and unlawful demonstrations (whether or not officially declared)
- Strikes, go-slows, workplace occupations and similar labour actions (whether lawful or not)
- Administrative acts of official authorities or of competent bodies and institutions (provided that they do not result from the inadequacy of one of the Parties)
The Party whose obligations are affected by force majeure notifies the other Party of the situation in writing as soon as possible. That Party also delivers to the other Party a document issued by a competent official body evidencing the force majeure. The document is delivered as soon as possible and in any event no later than 7 (seven) calendar days after the end of the force majeure.
An obligation affected by force majeure is suspended only for the duration and to the extent of that effect. If performance is still possible after the force majeure ceases, the obligation is performed immediately. For as long as the force majeure continues, each Party takes reasonable measures to minimise any losses that may arise.
In the following cases, each Party may end the Agreement with immediate effect by written notice: if the force majeure affecting at least one of the Parties lasts, or it becomes clear that it will last, more than 15 (fifteen) calendar days, or if the suspension of obligations makes the benefit the Parties expect from the Agreement reasonably impossible. In this case, only the obligations of the Parties towards each other that have already arisen continue.
Assignment
Neither Party may assign the Agreement or its rights and obligations under the Agreement to third parties without the written permission of the other Party.
This prohibition does not prevent the Contractor from using auxiliary persons and subcontractors in the performance of the service. The Contractor is liable for their acts under Article 116 of the TBK.
Evidence agreement
In disputes concerning payment, account reconciliation and default that may arise from the Agreement, and in debtor-creditor relationships between the Parties, the following records are accepted as binding and exclusive evidence:
- The commercial books kept by the Parties in physical and electronic form in accordance with the TTK
- The Parties' computer records
- Correspondence between the Parties (including correspondence via e-mail, WhatsApp and the Client Panel)
This provision constitutes an evidence agreement under Article 193 of the Code of Civil Procedure No. 6100.
Service of notices and notifications
Notices and warnings for putting the other Party in default, terminating the Agreement or rescinding the Agreement are given through a notary public, by registered letter, or via the registered e-mail (KEP) system using a secure electronic signature (Article 18(3) of the TTK). Notice by KEP is given to the KEP address of the receiving Party.
As an exception to this rule, the following notices may also be given via the Client Panel or by e-mail to the notification addresses below: cancellation of an order under the “Right of withdrawal and rescission” clause, ending monthly services by 30 days' prior notice under the “Term of the Agreement” clause, and ending the Agreement due to a price change for monthly services without commitment.
Other notifications may be given by e-mail or via the Client Panel. The Contractor's notification address is work@inurdemirel.com, and the Client's notification address is the e-mail address registered in the Client Panel.
The addresses of the Parties stated in the “Parties and scope” section are their addresses for service. Unless a change of address is notified to the other Party 7 (seven) days in advance, notices served to the registered address are deemed valid.
Termination
If the other Party fails to comply with its obligations under the Agreement and does not remedy the breach despite a written warning granting it 7 (seven) days, either Party may terminate the Agreement with immediate effect by written notice.
If any of the following occurs with respect to one of the Parties, the other Party may terminate the Agreement with immediate effect by written notice:
- It goes bankrupt
- It enters liquidation or its legal personality ends
- It requests concordat or is granted a concordat moratorium
- Enforcement proceedings against it remain fruitless (a certificate of insolvency is obtained)
- It becomes unable to pay its debts
However, during the concordat moratorium, the right of termination cannot be exercised solely on the grounds that concordat has been requested (Article 294(4) of the İİK). Other mandatory provisions of the Enforcement and Bankruptcy Law on concordat are also reserved.
If one of the Parties terminates the Agreement without just cause, other than in the cases specified in the Agreement, the other Party may claim compensation for the direct loss it incurs due to the termination.
Contractual penalty
If one of the Parties refrains from fulfilling its obligations under the Agreement within the specified periods, it pays the other Party a contractual penalty of 30% (thirty percent) of the fee for the purchased service. The Party incurring the loss may also claim, together with the contractual penalty, performance of the other Party's obligation and compensation for the loss it has incurred.
A Party that accepts late performance must make a reservation at the time of acceptance in order to preserve its right to claim the contractual penalty (Article 179(2) of the TBK). The contractual penalty cannot be claimed if performance becomes impossible for a reason not attributable to the debtor Party (Article 182(2) of the TBK).
Term of the Agreement
For one-off services, the Agreement remains in force until the purchased service is delivered and finalised.
For monthly services with a commitment term, the Agreement remains in force until the end of the chosen commitment term and ends automatically at the end of that term. The Parties may agree, in writing or via the Client Panel, on a new commitment term or on continuing monthly without commitment.
For monthly services without commitment, the Agreement is concluded for one-month periods and, unless ended, is extended for one-month periods on the same terms. Either Party may end the Agreement with prospective effect by giving at least 30 (thirty) days' prior notice.
Where monthly services are ended by 30 days' prior notice, the 30-day period runs from the notice reaching the other Party. The Agreement ends at the end of the first monthly period that ends after this period has expired. The fees for monthly periods that have begun by that date are paid; fees paid in advance for monthly periods after the end date are refunded.
Obligations relating to confidentiality and the protection of personal data continue after the Agreement ends. Rights and obligations that have arisen at the time of ending also continue after that date.
Governing law and competent court
The Agreement is governed by Turkish law.
If the Client is a merchant, the Ankara Courts and Enforcement Offices have jurisdiction to resolve disputes arising from the Agreement. Where the Client does not have merchant status, the competent court is determined in accordance with the general provisions of the Code of Civil Procedure No. 6100.
In disputes subject to mediation as a precondition for filing a lawsuit, an application is made to a mediator before the lawsuit is filed, pursuant to Law No. 6325 on Mediation in Civil Disputes.
Special provisions for the Google Rank Tracking service
Google Rank Tracking packages are a digital measurement and reporting service: the position in Google search results for the domain name and keywords defined by the Client is measured regularly, and the results are presented in the Client Panel. The entitlements of the packages are written on the package page at the time of order and in the Client Panel; the entitlements at the time of order remain valid throughout the period. The service is paid upfront for the chosen period (1, 3, 6 or 12 months), is made available for use in the Client Panel at the moment the payment is confirmed, and does not renew automatically. Since the service begins when the payment is confirmed, the cancellation tied to the “Queued” stage in the “Right of withdrawal and rescission” clause does not apply to these packages.
- Trial and gift: A free trial may be offered once to members whose e-mail address has been verified: 7 days, up to 20 keywords and 1 project. For SEO packages and SEO consultancy, throughout the paid package period, and for the Altın, Vip, Elite Master, Elite Leader and Zirve backlink packages (including their versions with on-page SEO), for 90 days from the date the order is completed, the entitlements of the Starter package are assigned free of charge; for backlink packages, the entitlement is 1 project and as many keywords as the package's number of target keywords (Altın 3, Vip 7, Elite Master 10, Elite Leader 15, Zirve 20). No payment details are requested for the trial and the gift; they are non-transferable, cannot be converted into cash and end automatically at the end of the period, and if the main package is cancelled or refunded, the gift also ends. The trial and the gift are for information purposes; they do not include any promise of a specific position or result. The Client's rights under this Agreement are reserved.
- Package change: When moving to a more comprehensive package, the remaining time of the current period is transferred to the new package in days, in proportion to the packages' keyword entitlements; moving to a smaller package begins when the current period ends. These operations do not give rise to any refund of payment.
- Results: Measurements reflect the search engine's results at the time of measurement through third-party data providers and may vary by location, device, time and personalisation. The Contractor does not commit to any specific position, traffic or sales result. In the event of a temporary disruption caused by the provider, that day's measurement may not be made; a day that could not be measured is shown as blank in the Client Panel.
- Fair use: Package entitlements are for the Client's own use; attempting to exceed the entitlements with automated tools, transferring the account to others or reselling the service is prohibited. The domain name may be changed at most twice a month per project. In case of misuse, the service may be suspended.
- Data retention: Measurement history is retained during the service and for 90 days after the end of the period; if the service is not renewed, it is deleted. Deleted projects are permanently deleted after 30 days. Share links (in the Agency package and above) are valid for 30 days and can be disabled by the Client at any moment it wishes.
- Reports: Reports carry the inurdemirel brand; the report number can be verified via inurdemirel.com.
These provisions apply to packages purchased from the cart; the Enterprise package is offered under a separate written agreement.
