Parties and scope
These terms apply between İnurdemirel Dijital Pazarlama Ve Yazılım Hizmetleri Ticaret Limited Şirketi (“İnurdemirel”) and the natural or legal person that uses the panel infrastructure under its own domain name and brand (the “Tenant”). The Tenant accepts these terms with a checkbox that is not pre-ticked when opening its panel or at the first administrator login; the acceptance is recorded together with the version of the text, the date, the time and the administrator who accepted.
The Tenant accepts these terms for commercial or professional purposes; consumer legislation does not apply to this relationship.
Scope and price of the service
İnurdemirel gives the Tenant the ability to use the panel infrastructure (customer accounts, orders, payment provider connections, support, notifications and the related administration screens) with its own domain name and appearance settings. This service is provided free of charge. İnurdemirel may change the features of the infrastructure with effect for the future.
The Tenant sells services to its own customers in its own name and for its own account. The Tenant is the party to, and is responsible for, the contracts, payments, invoices and legal texts between the Tenant and its customers; İnurdemirel is not a party to these relationships.
Obligations of the Tenant
- To prepare, publish in its panel and keep up to date the legal texts addressed to its own customers, such as the privacy notice, privacy and cookie policies, and distance sales and pre-contract information texts.
- To configure its own payment provider, e-mail (SMTP) and domain name settings lawfully and securely; to protect access credentials.
- Not to publish unlawful content in the panel, not to infringe the rights of third parties, and not to use the infrastructure in a way that endangers security or creates excessive load.
- To open panel administrator accounts only to authorised persons and to be responsible for the actions of these persons.
Processing of personal data (data processing terms)
- Roles: The Tenant is the data controller of the customer and user data in its panel. İnurdemirel processes this data only on the Tenant’s behalf, for the operation of the infrastructure and in accordance with the Tenant’s panel settings and written instructions, in the capacity of data processor (KVKK Articles 3 and 12).
- Purpose limitation: İnurdemirel does not use this data for its own purposes, does not sell it, does not use it for marketing and does not combine it with its own customer data.
- Confidentiality and security: İnurdemirel takes appropriate technical and administrative measures to prevent unauthorised access to the data; it limits access to authorised personnel and binds these persons by a confidentiality obligation.
- Sub-processors: The infrastructure is operated with service providers such as hosting, content delivery network, e-mail, SMS and bot verification providers. The current list and transfers abroad are set out in the inurdemirel KVKK Privacy Notice. The payment, e-mail and notification providers chosen by the Tenant itself are the Tenant’s responsibility.
- Data breach: When İnurdemirel becomes aware of a breach affecting the Tenant’s data, it notifies the Tenant without delay and provides the information necessary for the Tenant to fulfil its obligation to notify the Board and the data subjects.
- Data subject applications: İnurdemirel forwards to the Tenant without delay the applications that reach İnurdemirel and belong to the Tenant’s customers; it gives reasonable support for the Tenant to respond to the applications.
- Audit: The Tenant may request reasonable information on whether these terms are being complied with.
Suspension and termination
- İnurdemirel may suspend the Tenant’s panel by giving prior notice in the event of unlawful content, a security vulnerability, misuse or a breach of these terms. In urgent cases (an ongoing attack, a serious data security risk, a request from a competent authority), suspension may be carried out without notice; notice is given as soon as possible.
- Since the service is free of charge, İnurdemirel may terminate the service by giving the Tenant at least 30 days’ prior notice in writing or on a durable medium. The Tenant may also leave at any time.
- On termination, the Tenant’s panel data is kept for 30 days from the termination date in a form the Tenant can export, and is deleted at the end of this period. Records that must be retained by law are retained only for that obligation and for its duration.
Liability
The service is provided free of charge and “as is”. Without prejudice to cases of intent and gross negligence, İnurdemirel is not liable for interruptions, data loss, loss of profit or damage arising from the Tenant’s relationships with its customers. The Tenant is responsible for its obligations towards its own customers and for third-party claims arising from its breach of these terms; accordingly, in the case of justified claims directed at İnurdemirel on these grounds, the Tenant compensates İnurdemirel’s loss.
Changes, notices and disputes
İnurdemirel may change these terms with effect for the future; before a change takes effect, it is notified in the Tenant’s panel or to the registered e-mail address, and acceptance of the new version is obtained. Notices are sent to the Tenant’s e-mail address registered in the panel. These terms are governed by Turkish law; the Ankara Courts and Enforcement Offices have jurisdiction over disputes.
